HILTI AUTHORISED DISTRIBUTOR SALES TERMS AND CONDITIONS

Terms of Use

BNZ INDUSTRIAL SUPPORT LLC, hereinafter referred to as the “Seller”, publishes this document, which is in accordance with Art. 369 of the Civil Code of the Republic of Uzbekistan with a Public offer addressed to legally capable individuals - Buyers, and expresses the intention to consider himself as having entered into this public offer (hereinafter referred to as the Agreement) with the Buyer who accepted the offer to conclude an Agreement on the following conditions.

Terms and Definitions

«BNZ INDUSTRIAL SUPPORT» LLC:
Company in the form of Limited Liability Company "BNZ INDUSTRIAL SUPPORT" (registered under Reg. Number: 001685-11 INN: 205648236. Legal address: Republic of Uzbekistan, Tashkent, Yakkasaray district, Bobur street, Shokhjakhon MSG, 40E).

«Authorization»:
The process of identifying the Buyer by entering a login (e-mail) and password to access the Personal Account.

«Database of BNZ INDUSTRIAL SUPPORT LLC»:
Information and reference system containing information about goods and services intended for potential buyers (consumers) of goods (services).

«Blocking Personal Account»:
Imposing a ban on the Buyer’s actions in the online store.

«Place an order»:
Actions of the Buyer aimed at concluding a contract for the sale of Goods with the Seller and/or concluding an agreement for the delivery of Goods with BNZ INDUSTRIAL SUPPORT LLC. Each order is assigned a separate number.

«Personal Account»:
A personal and not accessible to third parties, individual section of the online store for each user, serving for the purpose of placing Orders and processing Services, as well as receiving special offers in accordance with this User Agreement, access to which is carried out after registration using a login and the Buyer's password.

«Online store»:
Website at https://hilti.com.uz, integrated with computer programs and Databases of BNZ INDUSTRIAL SUPPORT LLC, as well as a mobile application developed by the Developer, the domain name of which is registered with the Developer, and which is used by LLC BNZ INDUSTRIAL SUPPORT" to fulfill obligations under this Agreement . It also represents a set of intellectual property objects, namely software, database, design (graphic design), as well as information posted by the Agent and/or Developer. The domain name and name of the Site may be changed at the discretion of the Developer.

«Fraudulent actions»:
Actions committed for mercenary purposes through deception and (or) abuse of trust, and aimed at the unlawful taking of someone else’s property (cash and other material assets) of BNZ INDUSTRIAL SUPPORT LLC, Sellers and (or) other Buyers. These actions are a crime under Article 168 of the Criminal Code of the Republic of Uzbekistan and are prosecuted in the manner prescribed by law.

«Buyer»:
An individual who intends to order or purchase, or who orders, purchases Goods (work, service) from the Seller remotely by placing an order for Goods in the Seller’s online store or using the goods (result of work, service) solely for consumption purposes (for personal, family, home and other everyday (everyday) needs (goals) not related to commercial activities.

«Privacy Policy»:
Organizational and technical measures taken by BNZ INDUSTRIAL SUPPORT LLC to protect the Buyer’s personal data from unauthorized access, destruction, modification, blocking, copying, distribution, as well as from other unlawful actions of third parties.

«Seller»:
An individual entrepreneur, legal entity or payer of professional income tax, carrying out activities of selling goods through an online store to the Buyer using a remote method and having been registered in the online store

«Developer»:
«BNZ INDUSTRIAL SUPPORT» LLC

«Agreement»:
This User Agreement defines the procedure and conditions for using the online store.

«Goods»:
means goods that are the subject of a purchase and sale agreement concluded between the Seller and the Buyer, which are freely available in civil circulation and not prohibited by the legislation of the Republic of Uzbekistan.

1. Subject of the agreement

1.1. This agreement governs the relationship between BNZ INDUSTRIAL SUPPORT LLC and the Buyer arising when the latter uses the online store.

2. Registration and authorization

2.1. To be able to use the online store, the Buyer must register by filling out a registration form on the website and/or application, namely: indicating the name, phone number, email address (login), generating a password and clicking on the “Registration” button. By registering on the platform, the Buyer consents to the processing, collection and storage of his personal data, the possibility of the online store transferring personal data to companies delivering Goods to the territory of the Republic of Uzbekistan, as well as companies delivering throughout the territory of the Republic of Uzbekistan.

2.2. The buyer independently creates a password to enter the Personal Account. At the same time, BNZ INDUSTRIAL SUPPORT LLC has the right to impose requirements on the password when generating it (length, acceptable characters, etc.).

2.3. The parties to the Agreement guarantee that they have the legal capacity to enter into and execute this Agreement.

2.4. The Buyer's account is necessary and sufficient information to access the platform.

2.5. After registration, the Buyer has the opportunity to change the previously set password in the Personal Account.

3. Shopping

Placing an Order‍

3.1. Using the online store, the Buyer can search for information about the Products and purchase the necessary Products.

3.2. The following methods of receiving the Goods are available to the Buyer:

  • • Delivery to the point of delivery of orders (warehouse).
  • • Courier delivery to the specified address within the city where the Order Pickup Point (warehouse) is open.

3.3. The Buyer when placing an Order:

  • • Enters into direct contractual relations with the Seller from whom he purchases the Product.
  • • Is the customer of the goods delivery services provided by BNZ INDUSTRIAL SUPPORT LLC, if the Buyer has chosen courier delivery to the Buyer’s location.

3.4. BNZ INDUSTRIAL SUPPORT LLC may entrust the fulfillment of its obligations under the contract with the Buyer to third parties, while remaining responsible for its execution.

3.5. By placing an Order (by clicking the “Place Order” button or another similar button), the Buyer confirms that:

  • • information about the Goods (services) is brought to the attention of the Buyer in full. According to Article 427 of the Civil Code of the Republic of Uzbekistan, the Seller undertakes to provide the Buyer with the necessary and reliable information about the product offered for sale, corresponding to the requirements established by law or usually required in retail trade for the content and methods of providing such information.
  • • he has fully read this Agreement, that he fully understands them, and also understands and agrees with the subject and conditions of the Agreement concluded with the Seller.
  • • The Buyer has read all the essential terms and conditions of the sale of the Goods. The essential conditions for the sale of the Goods are indicated by the Seller on the page with the description of the Goods.

3.6. The Seller's obligations to transfer the Goods and other obligations related to the transfer of the Goods arise from the moment it is confirmed that the Goods are in stock. If, after payment for the Goods, it is discovered that the Goods are out of stock, the Seller has the right to cancel the Order.

3.7. Wholesale and retail trade carried out in the form of e-commerce is regulated by the Regulations on the procedure for carrying out wholesale and retail trade activities, approved by the resolution of the Cabinet of Ministers of the Republic of Uzbekistan dated November 26, 2002 No. 407, the Rules of retail trade in the Republic of Uzbekistan, approved by the resolution of the Cabinet of Ministers of the Republic Uzbekistan dated February 13, 2003 No. 75 and the Rules for the implementation of electronic commerce, approved by the resolution of the Cabinet of Ministers of the Republic of Uzbekistan dated June 02, 2016 No. 185.

3.8. The Buyer fully agrees that based on the history of orders completed and not purchased by him, as well as in connection with the amount and composition of the order, the user may be refused to place an order with the payment method Cash or card upon receipt. In this case, the user will be able to pay for the order using any other available payment method.

3.9. The product is presented on the website through sample graphic images, which are the property of the online store.

3.10. Due to different technical characteristics of monitors, the color of the Product may differ from that presented on the website. The appearance of the Product may differ from that described on the website.

3.11. The presence of a Product on the Seller’s website does not guarantee its availability.

Payment for Goods

3.12. Payment for orders on the online store website is made in cash and non-cash by transfer through payment systems.

3.13. The Buyer makes the payment in favor of BNZ INDUSTRIAL SUPPORT LLC, which acts with the involvement of an authorized payment processor or electronic money operator and is the recipient of the payment as the Seller.

3.14. The price of the Goods (works, services) is indicated in the national currency - in Uzbek soums and includes value added tax.

3.15. Prices for the Goods and for the delivery service are determined by the Seller unilaterally and indisputably and are indicated on the website of the online store.

Receiving an Order

3.16. In order to verify the exclusion of fraud when delivering a prepaid Order, the warehouse administrator of BNZ INDUSTRIAL SUPPORT LLC or the courier has the right to require the Buyer to present a document proving the identity of the Buyer.

3.17. The order is stored at the Order Pickup Point for 5 days from the date of its receipt.

3.18. The Buyer's failure to appear at the Order Pickup Point within the period established by clause 3.17 of this agreement and failure to take other necessary actions to accept the Goods upon courier delivery are considered as the Buyer's refusal of the Goods. In this case, the Order will be returned and the money paid for the Product will be refunded.

Refusal by the Buyer of the Product without claims to its quality

3.19. The Buyer has the right to refuse the Goods of proper quality at any time before its transfer, and after the transfer of the Goods, if the goods do not have any defects, but do not fit in size, color, technical characteristics and other reasons, the Buyer has the right within 10 calendar days days from the date of purchase, return, exchange the non-food product of good quality for a similar one from the Seller where it was purchased, and receive a refund.

3.20. Return of Goods of proper quality is possible provided that the goods have not been used, the packaging with a bar code (qr code), factory labels, tags, seals are preserved, the presentation, consumer properties, as well as a document confirming the fact and terms of purchase are preserved of the specified Product.

3.21. The marketable appearance is recognized as intact provided that the appearance of such Goods, together with the manufacturer’s consumer packaging, allows for its further sale to another buyer. Absence/damage to packaging, traces of use (including one-time use), which do not allow the Product to be sent for re-sale, are an obstacle to the further sale of the Product by the Seller and indicate that the product is not in good condition.

3.22. If the Buyer refuses the Goods of proper quality, the cost of services for courier delivery of the Goods by BNZ INDUSTRIAL SUPPORT LLC is not refundable.

Return and exchange of goods of inadequate quality

3.23. If defects are detected in the Goods, if they were not specified by the Seller, the Buyer, at his own discretion, has the right:

  • • demand replacement with a Product of a similar brand (same model and (or) article);
  • • demand replacement with the same Product of a different brand (model, article) with a corresponding recalculation of the purchase price;
  • • demand a proportionate reduction in the purchase price;
  • • demand free elimination of defects in the Product or reimbursement of costs for their correction by the Buyer or a third party;
  • • refuse to execute the sales contract and demand a refund of the amount paid for the Goods.

3.24. At the request of the Seller and at his expense, the Buyer must return the Product with defects.

3.25. The Buyer has the right to present the listed requirements to the Seller regarding defects in the Product if they are discovered during the warranty period or expiration date. In cases where the warranty period is less than six months and the defects of the Goods are discovered by the Buyer after the expiration of the warranty period, but within six months from the date of transfer of the goods to the Buyer, the Seller shall be liable if the Buyer proves that the defects of the Goods arose before its transfer to the Buyer or for reasons that have arisen up to this point.

3.26. In cases where defects in the Product are discovered by the Buyer after the expiration of the 14-day period or the warranty period established by the seller (manufacturer), if it is not established, then within six months, the Buyer has the right to present to the Seller the requirements listed in this paragraph if he proves that defects in the Goods arose before its transfer to the Buyer or for reasons that arose before that moment.

3.27. Such evidence may be the conclusion of an examination conducted independently at the initiative and at the expense of the Buyer.

3.28. The return of the Goods is carried out at the warehouse of BNZ INDUSTRIAL SUPPORT LLC.

Delivery of goods

3.29. Delivery of the Goods to the Buyer by courier delivery is carried out at the address and within the time agreed upon when placing the Order.

3.30. The exact cost of delivery of the Goods is determined when placing the Order and cannot be changed after agreement by the Buyer. If the Buyer refuses the Order in full due to inadequate quality of the Product, the delivery cost shall be returned to the Buyer. In case of cancellation of part of the Order for any reason, the cost of delivery services is not refundable.

3.31. Disadvantages of Order execution:

  • • The Product does not correspond to the description in the card/wrong size/color, etc.;
  • • incomplete delivery of the Goods;
  • • empty packaging of the Product;
  • • absence of one or more Products in the Order;
  • • The product arrived with mechanical damage/traces of use/damaged, etc.

3.32. If the Buyer has not checked the Order at the time of its transfer, BNZ INDUSTRIAL SUPPORT LLC is responsible only for deficiencies in the execution of the Order if the Buyer proves that they arose before the receipt of the Order.

4. Refund of the Buyer

4.1. In cases where the Buyer returns the Goods and requires a refund, the Seller returns the funds to him in accordance with this Agreement and in accordance with the procedure established by the legislation of the Republic of Uzbekistan.

4.2. Refunds of accrued funds towards payment for the Goods are carried out in cash and non-cash form as agreed with the Buyer in each specific case.

5. Rights and obligations of the parties

5.1. Buyer:

  • 5.1.1. Understands that any action performed from his Personal Account using his Account is considered an action performed by the Buyer himself.
  • 5.1.2. By performing actions on the online store website from your Account, you confirm that you have read the text of this User Agreement and undertake to comply with its terms.
  • 5.1.3. Carefully check the correctness of the selected Order (amount, selected Product, quantity of Product, etc.) before payment.
  • 5.1.4. Undertakes not to transfer his login (email address) and password to third parties, and thus is independently responsible for the safety of the login (email address) and password.
  • 5.1.5. Must provide true, accurate and complete information about himself in his Personal Account and keep this information up to date.
  • 5.1.6. Obliged to immediately notify BNZ INDUSTRIAL SUPPORT LLC of any case of unauthorized (not authorized by the Buyer) access to the Personal Account using the Buyer’s account and/or of any violation (suspicion of violation) of confidentiality and access to the Personal Account.
  • 5.1.7. If access to your Personal Account is blocked, deleted and/or suspended, you are not entitled to re-create an Account on the online store website.
  • 5.1.8. Understands that all claims regarding the quality of Goods purchased through the online store are presented to the Seller.
  • 5.1.9. When using the online store, he undertakes to comply with the legislation of the Republic of Uzbekistan and international standards governing commercial activities, as well as the rights and interests of third parties.
  • 5.1.10. Before concluding the Agreement, familiarize yourself with the contents of the User Agreement, terms of payment and delivery on the store’s website.
  • 5.1.11. Provide reliable information about yourself (full name, contact numbers, email address) and details for delivery of the Goods.
  • 5.1.12. Must accept and pay for the Goods within the terms specified in this User Agreement.
  • 5.1.13. Must comply with the terms and conditions of participation in current promotions.
  • 5.1.14. The right to publish reviews about goods purchased using the online store.

5.2. BNZ INDUSTRIAL SUPPORT LLC:

  • 5.2.1. The right to take any reasonable measures to identify and suppress unlawful actions using the online store.
  • 5.2.2. Has the right to request an identification document of the Buyer (scanned copy) and a photograph of the purchase (screenshot).
  • 5.2.3. Not responsible for the inaccuracy of data on a bank card, electronic money account, email address and telephone number provided by the Buyer.
  • 5.2.4. The right to make changes to the User Agreement unilaterally.
  • 5.2.5. Has the right to refuse to transfer the goods into ownership of the Buyer in case of violation of the terms of participation in the promotions.
  • 5.2.6. The right to demand the presentation of a passport if this is due to the characteristics of the product and the conditions of the promotion.
  • 5.2.7. Has the right to prohibit the publication of the Buyer’s review of the purchased product in cases where such review:
    • • contains insults, rude language or profanity;
    • • duplicates previously published reviews, contains repeated text patterns and wording;
    • • contains a photo that does not relate to the product or a photo of an intimate product in use;
    • • contains advertising materials;
    • • does not relate to the purchased product, does not contain information or opinions about it (however, the complete absence of text in the review is not a basis for its rejection);
    • • contains propaganda.

6. Conditions for publishing Buyer reviews.

6.1. The buyer has the right to leave reviews about the goods that he purchased on the online store website.

6.2. Reviews are published after they have been checked for compliance by the Buyer with the requirements specified in clause 6.3. regarding the content of the text of the Review.

6.3. When publishing a review, the Buyer must comply with the following requirements for the content of the review:

  • 6.3.1. The text of the review must contain a description of the Buyer’s personal experience of purchasing and using the product. The text should not contain extraneous photographs, videos, information, requests, advertising or other materials not related to the product.
  • 6.3.2. The text of the negative review must indicate the reason why the Buyer was dissatisfied with the product.
  • 6.3.3. The review must not contain offensive statements, slander or profanity (including words in which individual letters are replaced by other symbols).
  • 6.3.4. The text of the review should not contain information that is not related to the product, including information about the Seller, the online store, or other Buyers.
  • 6.3.5. The review must not contain information that is not related to the product, including information about the Seller, the online store, or other Buyers.
  • 6.3.6. The review must not contain information that is not related to the product, including information about the Seller, the online store, or other Buyers.

6.4. The Buyer is responsible for the accuracy and reliability of the information provided in the review.

6.5. The Buyer is not entitled to publish reviews that contain information that is not related to the product, including information about the Seller, the online store, or other Buyers.

7. Confidentiality and protection of personal data

7.1. BNZ INDUSTRIAL SUPPORT LLC undertakes to maintain the confidentiality of the Buyer’s personal data and not to disclose it to third parties, except in cases provided for by the legislation of the Republic of Uzbekistan.

7.2. The Buyer agrees to the processing of his personal data by BNZ INDUSTRIAL SUPPORT LLC, including the collection, systematization, accumulation, storage, clarification (update, change), use, distribution (including transfer), depersonalization, blocking, destruction of personal data, as well as the transfer of personal data to third parties, including courier services, payment systems, banks, and other organizations, solely for the purpose of fulfilling obligations under this Agreement.

7.3. The Buyer has the right to access his personal data, as well as the right to demand the correction of inaccurate or incomplete personal data.

8. Dispute resolution

8.1. All disputes arising from the execution of this Agreement shall be resolved through negotiations between the parties.

8.2. If the parties fail to reach an agreement, the dispute shall be resolved in accordance with the legislation of the Republic of Uzbekistan.

9. Change of agreement

9.1. The Agreement may be changed by BNZ INDUSTRIAL SUPPORT LLC without any special notice; the new version of the Agreement comes into force from the moment it is posted on the online store website, unless otherwise provided by the new version of the Agreement.

9.2. The current version of the Agreement is always located on the page at hilti.com.uz on the Company tab.

10. Final provisions

10.1. The agreement is considered concluded at the moment of registration of the Buyer on the online store website.

10.2. If for any reason one or more provisions of this Agreement are found to be invalid or unenforceable, this will not affect the validity or enforceability of the remaining provisions of the Agreement.

10.3. This agreement is drawn up in two languages: English and Russian, having equal legal force.

  • • order number on the website https://hilti.com.uz;
  • • description of the shortcomings of the received goods;
  • • buyer's requirement;
  • • payment details, passport details, PINFL and INN of the buyer in case a claim for payment of a penalty is made.

11. Personal Data

11.1. The Buyer’s personal data, which he indicates in his Personal Account, is stored and processed by BNZ INDUSTRIAL SUPPORT LLC in accordance with the terms of the Privacy Policy, which is set out in a separate document.

12. Intellectual Property

12.1. The holder of exclusive rights to the online store, including, but not limited to, the rights to the domain name, the posted logo of the online store, databases, and all technical developments that allow the use of the online store, is the Developer.

12.2. The Buyer does not have the right to use the online store in ways not provided for in the Agreement, including extracting information in any form in ways not provided for in the Agreement.

12.3. In order to execute the Agreement, conduct competitions, promotions, announce and inform Buyers and other similar events, exercise the legal rights and interests of BNZ INDUSTRIAL SUPPORT LLC and ensure the functioning of the online store, the Buyer grants BNZ INDUSTRIAL SUPPORT LLC a universally valid, perpetual right to use photographs, texts of reviews of goods that he leaves publicly on the Internet, in any way on all known or unknown information media during the entire period of validity of the exclusive right, as well as transfer such rights to third parties, both with and without indicating the author’s name.

12.4. Each buyer/user upon registration agrees to the user content policy when using the Hilti Online service, website www.hilti.com.uz.

12.5. Each buyer/user, upon registration, as well as when using the Hilti Online service, the site www.hilti.com.uz, gives his consent to familiarize himself with the information located on the site.

13. Change of Agreement

13.1. The Agreement may be changed by BNZ INDUSTRIAL SUPPORT LLC without any special notice; the new version of the Agreement comes into force from the moment it is posted on the online store website, unless otherwise provided by the new version of the Agreement. The current version of the Agreement is always located on the page at hilti.com.uz on the Company tab.

14. Final Provisions

14.1. The agreement is considered concluded at the moment of registration of the Buyer on the online store website.

14.2. If for any reason one or more provisions of this Agreement are found to be invalid or unenforceable, this will not affect the validity or enforceability of the remaining provisions of the Agreement.

14.3. This agreement is drawn up in two languages: English and Russian, having equal legal force.
